Zepay Money (Rudr Payments Tech Pvt. Ltd.)
1. Scope and Role
These Terms and Conditions govern the appointment and operation of ERs, Distributors, and Master Distributors for Zepay Money. By applying, the distributor agrees to comply with all terms set by Zepay Money.
2. Responsibilities of Distributor
2.1 Deliver only Zepay Money–authorized services.
2.2 Do not sell unauthorized products without prior written approval.
2.3 Provide infrastructure at your own cost (devices, connectivity, signage, etc.).
2.4 Use only the Zepay Money portal/software for transactions.
2.5 Ensure compliance with business hours, service quality, and legal norms.
2.6 Display branding and marketing materials as per company guidelines.
2.7 Refrain from any unlawful or fraudulent activity at the outlet.
2.8 Attend training sessions and use provided promotional tools as intended.
2.9 Do not interfere with operations of other authorized distributors.
3. Definitions
- Applicable Law: All Indian rules, acts, RBI circulars, etc.
- Applicant: Any adult individual applying for services.
- Consumer: A verified user with completed formalities.
- Intellectual Property: Includes all branding, software, and material of Zepay Money.
- Taxes: Includes GST and other government-mandated levies.
4. Appointment and Termination
4.1 Agreement begins upon approval of application.
4.2 Zepay Money may terminate with 30-day notice or immediately in case of breach.
4.3 The distributor is not an employee or partner of the company.
4.4 Change of location requires prior written approval.
5. Payments and Financial Terms
5.1 Non-refundable registration fees apply.
5.2 Distributors must maintain a working capital deposit.
5.3 Commission structures are available through the official portal.
5.4 No offline or unauthorized incentives allowed.
5.5 Distributors are responsible for their own tax compliance.
5.6 Operating costs are borne by the distributor.
5.7 Monthly inactivity charges may apply.
5.8 Zepay Money may deduct dues automatically if needed.
6. Employee and Legal Compliance
The distributor is solely responsible for its employees’ hiring, salaries, and statutory compliance including PF, ESI, and labor laws.
7. Exclusivity and Non-Compete
During the term of appointment, the distributor must not:
- Offer services similar to Zepay Money’s
- Solicit Zepay Money’s customers for competitors
- Share confidential company data
8. Legal Jurisdiction
All disputes are subject to the jurisdiction of competent courts located in the state as per Zepay Money’s official company registration.
